Terms Of Service

Do you know that regular backups may save you a lot of time, money and nerves.

  1. General Provisions
    1. The services offered on the site ua-hosting.company on behalf of SIA "UA-Hosting" ("the Contractor"), are hereinafter referred to as the Services.
    2. The individuals receiving the above services are hereinafter referred to as Clients.
    3. This agreement (“the Contract”) is a public offer, the equivalent of an "oral agreement" and is legally valid under the current laws of companies' country of registration.
    4. By paying for services, the Client thereby confirms he/she has fully read, understood and agrees with the terms and conditions of the Contract.
  2. Subject Matter
    1. Under this Contract, the Client orders for, while the Contractor agrees to provide the Services to the Client.
    2. The Client agrees to accept and pay for the Services provided by the Contractor in the manner and under the terms hereunder based on the rates ruling at the time of payment and specified on the website.
  3. Payment Procedure
    1. The Client places an order and registers either through the automated billing system available online, or by providing WMID and contact details for payment manually (only possible when WebMoney is used and only in the case when dedicated servers are leased).
    2. During registration, the Client must specify his/her real data, by filling in all the required fields.
    3. Services are paid by the Client from the Billing system on his/her own, except in cases where the payment is manually done (in this case, the invoice shall be send to the WMID every 10th day of the month).
    4. All Services are provided only after 100% prepayment.
    5. For manual payment, the Client should contact the Sales Department to arrange the payment procedure.
    6. Due date for cloud VPS and servers is set to 1st day of month. Minimal contract term is 1 full month plus remaining days in the month when order was provided. An invoice for the remaining days (pro-rata) will be created after service provisioning. Client has to pay this invoice in 14-day period.
    7. In the case of exceeding the limit of traffic for VPS and cloud servers that are provided with limited traffic, the Customer need to make surcharge of $20/TB for cloud VPS products or $10/TB for other VPS and bare metal servers. Monitoring of traffic consumption need to be done by Customer independently.
    8. Services are blocked if they or the pro-rata are not paid within the deadline established by the Contract.
    9. For cloud VPS and servers, the Client should renew his services or notify the Contractor of his/her intention to terminate the services before the 20th day of the last paid month.
    10. In case one of conditions of paragraph 3.9 was failed, Services may be blocked on the 21st day of the last paid month.
    11. Any refund after termination of Services shall be denied if the termination was due to a violation of the Contract by the Client.
    12. Funds deposited on the Billing system’s balance can be used only to pay for our services, the only exception is affiliate payments.
  4. Administration and Technical Support
    1. All dedicated servers will be provided by the Contractor without administration services, unless there is a individual agreement with the Client.
    2. Initial setup includes OS setup only. No additional software is installed and configured by default. If you order a server with CentOS and ISPmanager panel it is also possible to configure RAID1/10 and install ISPmanager with default settings. If Client needs such configuration he/she has to create a support ticket with the request.
    3. The Contractor should provide the Client with root access to the server via SSH (Linux OS) or Administrator access via RDP (remote desktop) (Windows OS). Once the Client successfully connects for the first time, all the Contractor’s obligations on administration of the server software will be deemed performed in full. From then on, the Client shall administer the server on his/her own.
  5. Blocking cloud VPS, servers and virtual hosting / partnership termination
    1. It's strictly forbidden to publish the following content:
      1. Child porn.
      2. Incitement to violence.
      3. Incitement to hatred of any kind.
      4. Scam, phishing.
      5. Viruses and malware software.
      6. Private data without a proper publication permission.
      7. Any other materials that may break the laws of the country where the data is hosted.
    2. To ascertain the circumstances or cause, the Contractor reserves the right to temporarily disable the Client’s cloud VPS, servers and virtual hosting / terminate partnership under the following events:
      1. Services have not been paid for on time.
      2. Spam in all its forms.
      3. The IP address of the server is blacklisted.
      4. Participation in outgoing DOS/dDOS attacks.
      5. Hosting of open proxy, open VPN and other publicly available services without approval.
      6. Publishing any materials listed in section 5.1.
      7. Deliberate actions by the Client, which interfere with the normal operation of other servers, network nodes, and the activities of other clients.
      8. Hosting of resources with high CPU/RAM consumption and large number of requests to the hard disk on the server.
      9. Intensive incoming DDOS attack on the Client's server preventing the network from functioning normally.
      10. Using the Contractor's services for any unlawful purpose.
      11. Inappropriate communication with the Contractor's employees, including rudeness, use of indecent language and threats.
      12. Not responding to content complaints from copywriting organizations and other establishments.
  6. Liability disclamer
    1. The Contractor's responsibility is limited to addressing issues concerning the functioning of the server components (“hardware”) and resolving network problems (not related to setting up the software of a separate server) within the Data Center.
    2. In case if hardware failure have occurred, the replacement of malfunctioning or broken parts is performed during 1 business day after problem has been localized. In case if Client doesn't provide the necessary evidences (logs, diagnostic messages) that could help to localize the problem, the time will be counted after all necessary diagnostics have been performed.
    3. The Contractor is not responsible for safety and integrity of Client's data. Client is fully responsible for maintaining an appropriate backup level according to his tasks.
    4. The Contractor is not responsible under any circumstances for direct or indirect losses or loss of profit caused by Contractor's actions or inaction.
  7. Duration and Termination
    1. The Contract shall come into force once the Client pays for the Services.
    2. The Contract shall be deemed terminated if the Client stops using the Services rendered by the Contractor or if either party fails to comply with the terms and conditions hereunder. If the Client terminates the server lease (or account server hosting) contract and at the same time if the Contractor meets its obligations hereunder, the money paid for the hosting server shall be non-refundable and used to cover the costs incurred by the hosting server installation .
